This agreement ("Agreement") dated as of the date of last signature below (“Effective Date”) is made by and between
Shelly Snow Pordea (“Consultant”), Little Black Book Publishing and The Creativ U (“Company/Companies”) and by
__________________ (“Client”) and pertains to the Medium Content Book ("Product") involving an individual author
("Participant"). For purposes of this Agreement, each Consultant, Company, and Client may be referred to herein
individually as a “Party” or, collectively, as the “Parties”.
The Client agrees to contribute written content, ideas, and materials to the Product in accordance with their
respective areas of expertise and subject matter, as mutually agreed by the Parties.
Please read carefully. By entering into this Agreement, the Parties agree to the following terms.
Program / Service
Companies agree to provide coaching, proofreading, project management, publishing, and marketing services
(“Program”) identified in Little Black Book’s Medium Content Book campaign during the term of this Agreement.
The Parties agree to abide by all terms outlined in this Agreement as a condition of each Party’s participation.
Disclaimer
Companies are not employees, agents, lawyers, doctors, managers, therapists, public relations or business managers,
registered dieticians, financial analysts, psychotherapists, or accountants. Client understands that Consultant
has not promised and is not obligated to procure employment, perform business management, act as a therapist,
publicist, public relations manager, or introduce Client to Consultant’s full network.
The Client understands that no ongoing relationship exists after the conclusion of the Program unless a separate
agreement is executed.
Fees
Package One Program Fee
Price: $6,825
Payable in full or $592 monthly for 12 months
Final payment must be received prior to publication

Price includes up to 30 hours of professional services. Additional time is billed at hourly rates ranging from
$40 to $90. Support begins after discovery, consultation, and completion of the rough manuscript and must be
used within one calendar year.
Methods of Payment
Monthly payments are charged based on the original invoice. Full payment may be made by the invoice due date.
Confidentiality
This Agreement acts as a mutual non-disclosure agreement. All Confidential Information shall be protected and not
disclosed to third parties. Violations may result in injunctive relief.
No Transfer of Intellectual Property
All Companies’ materials remain their sole property and are licensed for single-client use only. Client materials
remain the intellectual property of the Client. Any consultant edits belong to the Client.
Client Responsibility
Client is fully responsible for participation, deadlines, and progress. No guarantees are made regarding outcomes
or success.
Severability / Waiver
If any provision is deemed unenforceable, the remaining provisions shall continue in full force.
Limitation of Liability
Client agrees to indemnify and hold harmless the Companies and Consultant from claims resulting from Client actions,
except where caused by Company negligence.
Modification
Any modification must be agreed upon in writing by all Parties.
Termination
Either Party may terminate with thirty (30) days written notice. Companies reserve the right to suspend or
terminate participation for violations or disruptive behavior.
Earning Disclaimer
No income or success guarantees are made. Earnings depend entirely on Client effort and circumstances.
Indemnification / Enforcement / Venue
This Agreement is governed by the laws of the State of Missouri, with venue in St. Charles County, Missouri.
Social Media Promotions
The Parties agree to reasonably promote the Product through their social media profiles where applicable.
Legally Binding Agreement
Each Party affirms they have authority to enter this Agreement, understand its terms, and have had the opportunity
to consult independent counsel.
This Agreement may be executed in counterparts and delivered electronically.
In witness whereof, the Parties have executed this Agreement as of the Effective Date.
